These Terms of Use ("Terms") govern your access to and use of the Cut Tape website, app and related services (collectively, the "Service"). By creating an account, accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you as an individual and that entity.

1. Who we are

Cut Tape is operated by the founder based in Australia. The Service is designed to help small businesses understand and track compliance obligations by turning public regulatory information into tailored checklists and reminders.

2. Eligibility

You may use the Service only if you:

  • are at least 18 years old, and
  • have the legal capacity to enter into a binding contract in your jurisdiction.

If you are using the Service on behalf of a business, you must be authorised to accept these Terms on its behalf.

3. Nature of the Service (no legal or financial advice)

Cut Tape helps you organise and track potential obligations based on information you provide (such as your country, state, industry, business structure, size and revenue band) and public government sources. It is intended as a practical tool to assist with planning and record-keeping.

Cut Tape does not provide legal, tax, accounting or financial advice and is not a law firm or professional advisory service. Information presented in the Service is for general information and organisational purposes only and may not reflect all obligations applicable to your specific situation.

You remain solely responsible for:

  • interpreting relevant laws and regulations,
  • seeking your own professional advice when needed, and
  • making decisions about how to comply with applicable requirements.

4. Government sources and no affiliation

Cut Tape may reference, summarise or link to information published by government agencies, regulators or other third parties. While we aim to work from official and reputable sources, we do not control those websites and cannot guarantee their accuracy, completeness or availability.

Cut Tape is not endorsed by, affiliated with, or officially approved by any government, regulator or agency. Any use of government names, logos or links is for identification and reference purposes only.

5. Accounts and security

To use most features of the Service, you must create an account and provide a valid email address and password or use an approved sign-in method.

You agree to:

  • provide accurate and up-to-date registration information;
  • keep your login credentials confidential and not share your account with unauthorised persons;
  • promptly notify us if you suspect any unauthorised access to your account; and
  • be responsible for all activity that occurs under your account.

6. Subscriptions, payments and billing

Cut Tape may offer free trials and paid subscription plans. Details of current plans, features and pricing will be displayed in the Service or on the website.

Payments are processed securely by Stripe or another payment processor we designate. By providing payment information, you authorise us and our payment processor to charge your chosen payment method for:

  • recurring subscription fees;
  • any applicable taxes; and
  • any other charges clearly disclosed to you.

Unless otherwise stated, subscriptions renew automatically at the end of each billing period until cancelled. You can usually cancel via your account settings or by contacting us before the next renewal.

30-Day Money-Back Guarantee: If you are not satisfied with your paid subscription for any reason, you may request a full refund within 30 days of your initial purchase or renewal. To request a refund, contact us at alexander@cuttape.com. Refunds will be processed within 5-10 business days to your original payment method. This guarantee does not apply to subsequent renewals after the first 30 days.

Beyond the 30-day guarantee period, fees are generally non-refundable except where required by law. If a payment fails, we may suspend or limit your access to the Service until payment is successfully processed.

7. Your content and permissions

You may upload or input content into the Service, including business details, notes, and supporting documents such as certificates, policies and licence renewals ("Your Content").

You retain all rights to Your Content. However, you grant us a:

  • worldwide, non-exclusive licence to host, store, process and display Your Content as reasonably necessary to operate and improve the Service; and
  • right to share Your Content with service providers (such as hosting and storage providers) solely for these purposes.

You are responsible for ensuring that Your Content does not infringe the rights of others and that you have all necessary permissions to upload and use it within the Service.

8. Acceptable use

You agree not to use the Service in any way that is unlawful, harmful or abusive, including but not limited to:

  • attempting to access accounts or data that do not belong to you;
  • interfering with the normal operation or security of the Service;
  • uploading malicious code, scripts or content that could damage the Service or other users;
  • using the Service to harass, threaten, defame or otherwise harm others;
  • attempting to reverse engineer, decompile or otherwise derive the source code of the Service, except to the extent allowed by law;
  • using the Service to build a competing product or service by systematically copying features, interface or content.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.

9. Intellectual property rights

The Service, including its design, layout, text, graphics, logos, icons, interfaces, underlying code and any content created by or for Cut Tape (excluding Your Content), is owned by or licensed to Cut Tape and is protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes, subject to these Terms. You may not copy, modify, distribute, publicly display, or create derivative works of the Service except as expressly permitted by these Terms or applicable law.

10. Disclaimers and limitations of liability

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Without limiting the above, we do not warrant that the Service will be:

  • error-free, uninterrupted or secure at all times;
  • complete, accurate or up-to-date with every change in applicable law; or
  • suitable for your specific compliance needs without independent professional advice.

To the maximum extent permitted by law, Cut Tape and its operators are not liable for:

  • any indirect, incidental, special, consequential or punitive damages; or
  • any loss of profits, revenue, data, goodwill or business opportunities,

arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

To the extent any liability cannot be excluded, our aggregate liability to you for all claims arising under or related to the Service will be limited to the greater of: (a) the amounts you have paid to us for the Service in the three (3) months prior to the event giving rise to the claim, or (b) AUD $100.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

11. Indemnity

To the extent permitted by law, you agree to indemnify and hold Cut Tape harmless from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your Content, including any allegation that it infringes the rights of a third party;
  • your use or misuse of the Service; or
  • your breach of these Terms or applicable law.

12. Suspension and termination

You may stop using the Service at any time and may be able to cancel your subscription through your account settings. Certain subscription commitments may apply for the current billing period.

We may suspend or terminate your access to the Service (or any part of it) if:

  • you materially breach these Terms;
  • you fail to pay applicable fees after reasonable attempts to collect; or
  • we are required to do so by law or if continuing to provide the Service is no longer commercially viable.

Upon termination, your right to use the Service will cease. We may retain certain information as described in our Privacy Policy and as required by law.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top and may notify you via email or in-app notice.

If you continue to use the Service after changes take effect, you will be deemed to have accepted the updated Terms. If you do not agree, you should stop using the Service.

14. Governing law

These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict of laws principles. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia in relation to any dispute arising out of or in connection with these Terms or the Service.

15. General

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale of assets or similar transaction.
